Non-Disclosure Agreement (NDA). How effective is NDA in the Russian legal order?

A non-disclosure agreement (NDA) is a key tool for protecting confidential information. However, the question arises as to how effective an NDA is in the Russian legal system.

There is indeed a perception that NDAs are not effective enough, as it is not uncommon for courts to refuse to award damages or penalties for the disclosure of information.

It is important to realise that such refusals are often not due to the NDA itself being unworkable, but rather due to difficulties in proving disclosure, classifying information as confidential and shortcomings in the agreement's wording.

Nevertheless, it is perfectly possible to agree an NDA that actually works.

  • What legal requirements must be met?
  • What key elements (subject matter, terms, obligations of the parties, sanctions) should be specified in the agreement?
  • What amounts are actually recovered by courts in NDA infringement lawsuits and what does the amount of compensation depend on?
  • What typical mistakes should be avoided when drafting and signing an agreement?

During the webinar, MAGENTA Legal lawyers will answer these and other topical questions related to confidentiality agreements.
